These Terms of Service ("Terms") govern your access to and use of the Altifluence AI platform, website (https://altifluenceai.com), and all related services (collectively, the "Services"). Your Content: You retain ownership of all content, data, and materials you upload or input into the Platform ("Your Content"). By using our Services, you grant Altifluence AI a nonexclusive, royalty-free, worldwide, fully-paid license to use, process, store, and display Your Content solely as necessary to provide and improve our Services.

Contact Data: Any contact data you provide or manage through our Platform will only be shared with third-party service providers as necessary to deliver the Services, in connection with a sale or merger of the business, or as required by law.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

Using our Services for any illegal or unauthorized purpose
Harassing, threatening, or intimidating other users or individuals
Impersonating any person or entity, or misrepresenting your affiliation
Accessing another user's account without authorization
Interfering with or disrupting the integrity or performance of our Services
Attempting to reverse engineer, decompile, or disassemble any part of our Platform
Sending unsolicited spam, bulk messages, or communications in violation of applicable laws
Using our AI tools to generate deceptive, fraudulent, or harmful content

6. Terms of Sale and Subscriptions

Certain features of our Services are available through paid subscription plans. By purchasing a subscription, you agree to the following:

Subscriptions are billed on a recurring basis (monthly or annually, as selected)
Subscriptions auto-renew at the end of each billing period until cancelled
You authorize us to charge your payment method on file for recurring fees
All cancellation requests will take effect at the end of the then-current subscription period
Prices are subject to change with 30 days' prior notice

7. Intellectual Property

You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code of our software.

11. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that our Services will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALTIFLUENCE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SERVICES.

Our total aggregate liability for all claims arising from or related to these Terms or our Services shall not exceed the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

13. Data Processing and Compliance

By using our Services, you consent to the processing and storage of your data in the United States. You are responsible for ensuring that your use of our Platform complies with all applicable data protection laws in your jurisdiction, including obtaining necessary consents from your contacts and customers.

You agree to comply with all applicable export control laws and regulations and shall not use our Services in violation of any anti-corruption or anti-bribery laws.

14. Dispute Resolution

All disputes, controversies, or claims arising out of or relating to these Terms or our Services will be resolved through confidential binding arbitration held in Prince George's County, Maryland, in accordance with the rules of the American Arbitration Association. Any claim must be filed within one (1) year after the cause of action arises, or the claim is permanently barred.

You agree that any arbitration will be conducted on an individual basis and not as a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Maryland, United States, without regard to conflict of law principles. For any matters not subject to arbitration, the courts located in Prince George's County, Maryland shall have exclusive jurisdiction.

16. Termination

Either party may terminate this agreement at any time. You may cancel your account through your account settings or by contacting us. We reserve the right to suspend or terminate your access to our Services without prior notice if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to our business, users, or third parties.

Upon termination, your right to use our Services ceases immediately. We will provide a reasonable period (not less than 30 days) for you to export your data following termination.

17. Amendments

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our Site, updating the "Last Updated" date, or sending you notice through the Platform or email. Your continued use of our Services after such changes take effect constitutes acceptance of the updated Terms.
